1 WELCOME TO KNOWIO
These terms and conditions (the "Terms") govern your use of Knowio AS' ("Knowio", "we", "us" or "our") software services as further described on our website (the "Services"). These Terms, including any additional documents incorporated hereto by reference, forms a legally binding agreement between you and Knowio for your use of the Services. Your access to and use of the Services are provided pursuant to an agreement between Knowio and the organization with which you are affiliated (the "Master Agreement"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services. In addition to these Terms, our Privacy Policy (available at [Insert URL]) describes how we process the personal information we may collect when you use the Services.2 LICENSED RIGHTS
2.1 Your rights to use the Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for the internal business purposes of the organization you are affiliated with and in accordance with the Master Agreement.2.2 Retained rights
Except for the right to use the Services in accordance with these Terms, Knowio grants you no other right, title, or interest in the Services. You may not charge any fees or require any payment as part of your use of the Services, except as expressly authorized by Knowio. Knowio reserves the right to upgrade and/or change the Services at any given time. Upgrades may regularly be notified to you either by email to your registered email account or in-Service notifications. All trademarks and visual elements displayed on the Services are the sole property of Knowio or its licensors. These Terms do not grant you any rights to use any mark for any purpose, whether for commercial or non-commercial use.2.3 Knowio's license to user related data
The Services rely on data shared by you as the user. This data is collected, stored and processed and/or analyzed by Knowio as necessary in order to enable your use of the Services. Knowio will keep all data that you submit through the Services to Knowio secure and only process your data for the purpose of providing the Services to you. You hereby grant to Knowio a worldwide, non-exclusive, limited term license to access, use and process data that you upload to the Services as is reasonably necessary: (a) to provide, maintain and update the Services, (b) to prevent or address service, security, support or technical issues, (c) as required by law; and (d) as expressly permitted by you. Upon termination of your user account, Knowio will delete all user data from your account, or otherwise in accordance with Knowio's Privacy Policy (as applicable). Without prejudice to the aforementioned, Knowio reserves the right to process aggregated metadata collected through your, and other users', use of the Services for statistical, market research, product and service development, and other internal or commercial purposes.3 ACCOUNT CREATION
3.1 General
To access and use the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Knowio reserves all rights to take legal action against anyone who misrepresents personal information or is otherwise untruthful about their identity in connection with their use of the Services. Notwithstanding the foregoing, you acknowledge that Knowio cannot guarantee the accuracy of any information submitted by any user or the identity of any user who chooses to use the Services. Knowio is not obliged to verify the identity of any user.3.2 No account cycling
Any form of account sharing or account cycling is not permitted without Knowio's prior written approval.3.3 Administrator assumption of control
If you use an email address provided by an Organization you are affiliated with (e.g., an employer) to register for a Knowio account, you represent that you have authority to use that Organization’s domain to register for an account to use the Services in your capacity as a member of that Organization. The Organization, as the owner of the domain associated with your email address, may assume control over and manage your use of the Services. In such a case, your Organization’s designated administrator may: (i) control and administer your account, including modifying and terminating your access and (ii) access and process your data, including the contents of your communications and files. Knowio may inform you that your Organization has assumed control of the Services, but Knowio is under no obligation to provide such notice.4 ACCOUNT SECURITY
You are responsible for safeguarding your account credentials and for all activities that occur under your account. We can terminate your account or place your account on hold in order to protect you, Knowio or our partners from conducting, or attempting to, conduct identity theft or other fraudulent activity.5 ACCEPTABLE USE
You agree to only use the Services for the intended purposes and as permitted pursuant to these Terms and applicable laws. When using the Services, you agree and understands that:a) Accessing (or attempting to access) any of the Services by any means other than through the means Knowio provides, is strictly prohibited. You specifically agree not to access (or attempt to access) any of the Services through any automated, unethical or unconventional means; and
b) Engaging in any activity that disrupts or interferes with Services, including the servers and/or networks to which the Services is located or connected, is strictly prohibited.
For the avoidance of doubt, you are not permitted to use the Services for advertising, marketing or sales activities unless expressly authorized by Knowio.
Further, you agree that you will not, directly or indirectly:a) copy, redistribute, reproduce, transfer, disclose or otherwise make available to the public any part of the Services, or otherwise make any use of the Services that is not expressly permitted under the Terms or which otherwise infringes the rights of Knowio or third-parties;
b) reverse-engineer, decompile, disassemble, modify or create derivative works of the Services, or any data therein, except to the extent permitted by the Terms;
c) "frame" or "mirror" the Services or any portion of it on any other server or internet-based device;
d) circumvent any technology used by Knowio, or its licensors, or any third party to protect the Services or any data therein;
e) hinder or manipulate the flow of data or information generated through the Services to and from Knowio; or
f) utilize the Services, or any data therein, for any other purposes than expressly allowed under the Terms.
